Felser, P.C. can be retained to provide ongoing general counsel to businesses of all sizes. Current clients range in size from 1 to 60+ employees and are engaged in a variety of industries. Among the issues that we handle:
- Preparation and review of contracts and other legal instruments.
- Intervention for the resolution of disputes or, if not resolved through intervention and negotiation, then representation and advocacy in mediation, arbitration and litigation.
- Employment law counseling concerning the hiring and firing of employees, the application and effect of employment and anti-discrimination laws, and the preparation or review of employment contracts, employment manuals, anti-harassment policies and other HR materials.
- Registration of trademarks and copyrights, and enforcement of intellectual property rights.
- Preparation of documents to re-organize or modify the legal structure or capital structure of a business. For example, converting or merging a limited liability company into a corporation.
- Representation in the admission of new owners and purchase or sale of a business.
- Counseling and document preparation for the granting of ownership interests to key employees.
- Counseling concerning compliance with local, state and federal laws and regulations applicable to the client's business operations.
- Advice, counsel and advocacy concerning almost any other legal issue arising in the course of business operations, with the exceptions noted below.
Felser, P.C. does not handle income tax controversies, immigration law, patents, public securities offerings, prospectuses, exemptions from securities registration or similar securities matters, but refers all such cases to lawyers having suitable experience and expertise.
